Terms of Service

1. Scope & statements of work

Each engagement is defined in a proposal or statement of work (SOW) that includes scope, deliverables, timelines, assumptions, and fees in USD. The SOW prevails over these Terms where conflicts arise.

2. Client responsibilities

• Provide timely access, content, approvals, and feedback.
• Ensure provided materials do not infringe third-party rights and comply with applicable law.
• Procure and manage third-party services (hosting, domains, plugins, CRMs) unless explicitly included in the SOW.

3. Fees, invoicing, and payments

• Quotes and invoices are issued in USD. Payment is via bank transfer to the account shown on the invoice.
• Invoices are due before work starts unless otherwise agreed in writing. No recurring billing or subscriptions.
• Work begins immediately after payment and onboarding. Late payment may pause delivery.

4. Intellectual property

• Upon full payment, the client owns the final deliverables created for the project.
• We retain ownership of pre-existing tools, libraries, and know-how. Licenses for third-party assets are passed through subject to their terms.
• We may showcase non-confidential work samples unless the client requests confidentiality in writing.

5. Change management

Scope changes are documented and may adjust fees or timelines. We provide written confirmation before proceeding with changes.

6. Warranties and limitations

• We warrant services will be provided with reasonable skill and care.
• We do not guarantee specific commercial results or third-party platform performance.
• Our total liability is limited to the fees paid for the applicable SOW, excluding liability that cannot be limited under law.

7. Termination

Either party may terminate for material breach if not remedied within 14 days of notice. Client-initiated cancellation is handled per the Refund & Cancellation Policy.

8. Disputes

We cooperate calmly with any dispute or chargeback investigations and provide documentation of scope, approvals, and delivery.

9. Governing law

These Terms are governed by the laws of England & Wales. Courts of England & Wales have exclusive jurisdiction.
